These Terms of Service ("Terms") govern your use of the services provided by Adaptive Machines LLC (referred to as "we," "our," or "us"). By accessing or using our services, you agree to comply with these Terms. If you do not agree to these Terms, you should not use our services.

1. Age Restriction

You must be at least 13 years old to use our services. If you are under 18, you must have the consent of a parent or guardian to use our services. By using our services, you confirm that you meet these age requirements.

2. Services We Offer

We offer three primary services:

• Learning: Online courses in STEM subjects for high school students, university students, and professionals.
• Consulting: Customized robotics consulting services designed for professionals, startups, and R&D teams.
• Innovation: Specialized research and development (R&D) project partnerships with businesses and government agencies aiming to develop robotics technology.

3. Code of Conduct

To maintain a professional environment, all participants in live courses, discovery calls, consulting sessions, and any other online and written discussions must adhere to the following standards:

• Respectful Communication: All interactions must remain professional. Disruptive behavior, offensive language, or harassment violate this Code of Conduct.

• Constructive Participation: All interactions must be relevant to the discussion topic. Intentional disruptions, trolling, or off-topic discussions violate this Code of Conduct.

• Compliance with Policies: Participants must follow all Adaptive Machines LLC policies, including this Terms of Service.

Violations may result in removal, restricted access, or account termination without a refund. All participation decisions are final and non-disputable.

4. Refund and Cancellation Policy

• Learning Services: You may cancel your course within the trial period of 7 days and before taking more than 2  lessons to receive a full refund with no questions asked. No refund will be provided after the trial period or after taking more than 2  lessons.
• Consulting Services:
• One-time consultations: If canceled before the session, you will receive a full refund. No refunds are available once the consultation has taken place.
• Subscription-based consulting: Refunds are provided on a pro-rated basis if canceled.
• Innovation Services: Refunds for innovation services are governed by the specific terms outlined in each project contract. If applicable, refunds will be provided on a pro-rated basis.

No refund will be issued to anyone who violates Adaptive Machines LLC policies, including these Terms of Service and the Code of Conduct.

5. Payments

All payments for services are securely processed through our trusted payment processors, such as PayPal, Stripe, or others we may designate. By completing a payment, you authorize us to process transactions using your chosen payment method and confirm that you are legally entitled to use it.

6. Service Modifications

We reserve the right to modify or discontinue any service at any time. If significant changes occur, we will notify you via email or post a notice on our website. Continued use of our services after such notifications constitutes your acknowledgment and acceptance of the changes.

7. Limitation of Liability

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability will be limited to the amount you paid for the service in question.

8. Account Closure

You may close your account at any time by contacting us at the email provided below. Upon closure, we will cancel your services and delete your personal data in accordance with our Privacy Policy.

9. Legal Compliance

By using our services, you agree to comply with all applicable laws and regulations. If you are under 18, you must have the consent of a parent or guardian to use our services.

10. Intellectual Property

All content, materials, courses, and consulting outputs provided by Adaptive Machines LLC are the exclusive property of Adaptive Machines LLC and are protected under U.S. and international copyright laws. Users are granted a limited, non-exclusive, and non-transferable license to access and use these materials for personal or agreed-upon business purposes. Unauthorized reproduction, distribution, or modification is strictly prohibited.

11. Governing Law

These Terms of Service are governed by the laws of the State of Tennessee, without regard to conflict of law principles. For users located outside the United States, applicable laws in their respective jurisdictions will also apply, in accordance with relevant local regulations.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Tennessee under the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding. Each party shall bear its own arbitration costs, including filing, administration, and arbitrator fees. Adaptive Machines LLC shall not be responsible for any arbitration-related costs incurred by the user, unless required by law or expressly awarded by the arbitrator.

This arbitration requirement does not apply to disputes eligible for small claims court or claims seeking injunctive relief for intellectual property rights. If arbitration is unenforceable, disputes shall be resolved exclusively in the state or federal courts of Tennessee, with both parties consenting to their jurisdiction.

13. Attorney’s Fees

In any legal action or proceeding arising under these Terms of Service, the prevailing party shall be entitled to recover its reasonable attorney’s fees and litigation costs from the non-prevailing party, subject to the court’s discretion.
